Introduction and Acceptance of Terms
Welcome to Do Nothing Marketing Agency. By choosing to work with us, you confirm that you have read, understood, and accepted the Terms and Conditions described on this page. These Terms form a binding agreement between you (the client) and Do Nothing Marketing Agency (the agency). They are designed to protect both parties, to set expectations clearly, and to explain how our services are provided. This agreement follows relevant Indian laws such as the Indian Contract Act and the Information Technology Act, and it is also drafted with international contract and advertising standards in mind.
Nature of Our Services
Do Nothing Marketing Agency offers fully managed digital marketing services. We plan, create, execute, and optimize your digital presence so you can focus on running your business. Our services may include social media management, paid advertising (Google Ads, Meta Ads), creative design, branding, landing page and funnel creation, copywriting, analytics and tracking, and marketing consultation. While we manage the operational and strategic work, successful execution relies on your cooperation, timely approvals, and the provision of accurate business information. We follow platform policies and industry standards including Facebook/Meta policies, Google Ads policies, ASCI guidelines, FTC rules, and GDPR where applicable.
Client Responsibilities
To ensure efficient delivery, you must provide correct and up-to-date information, including brand assets, logos, product images, pricing, and account access (social pages, ad accounts, website admin access, etc.). You are responsible for approving creatives, content, and ad copy before publication. Any delay in providing required information or approvals may delay campaigns or other deliverables. You must also comply with all applicable local laws and regulations in your jurisdiction, including consumer protection laws, advertising standards, and taxation rules.
Payments, Billing & Refund Policy
All payments must be made in advance unless otherwise agreed in writing. Indian clients are billed in INR and applicable GST will be added. International clients will be billed in the agreed currency (for example USD, EUR, AED, GBP) and are responsible for any bank or currency conversion fees. Marketing service fees are non-refundable once work commences because the agency invests time, resources, and expertise immediately upon project start. Advertising budgets (for platforms such as Meta and Google) are paid directly to the advertising platforms and are non-refundable. If payments are late, incomplete, or stopped, the agency reserves the right to pause or terminate services immediately.
No Guarantee of Specific Results
Digital marketing outcomes depend on many factors outside the agency's control, including market demand, competition, audience behavior, product quality, pricing, seasonality, and platform algorithm changes. For this reason, Do Nothing Marketing Agency does not guarantee specific numbers for sales, leads, ROAS, revenue, conversions, or engagement. We guarantee professional effort, data-driven strategy, and best-practice execution, but exact results cannot be promised. Any claim of guaranteed fixed results would be misleading and contrary to applicable advertising laws.
Advertising Compliance & Legal Restrictions
All campaigns must comply with the advertising rules of the platforms and jurisdictions where the ads run. The agency will not create or run ads that contain misleading claims, illegal content, exaggerated guarantees, prohibited products, fake reviews, or other policy-violating material. If a client requests work that would breach platform policies or local laws, the agency has the right to refuse that work and may terminate services. Clients are responsible for ensuring their products, offers, and business practices comply with applicable laws, licensing requirements, and tax obligations.
Intellectual Property & Content Ownership
All creative work, strategies, designs, ad copy, videos, landing pages, and related assets created by Do Nothing Marketing Agency remain the agency's intellectual property until full payment is received. Upon full payment, the client is granted rights to use the delivered materials for their business. The agency may showcase completed work in portfolios, case studies, or marketing materials unless the client requests confidentiality in writing. Clients shall not resell, redistribute, or claim authorship of agency-created work without prior written permission.
Confidentiality & Data Privacy
We treat client data and communication as confidential and follow reasonable security practices to protect information. The agency adheres to Indian data protection regulations and relevant international privacy standards such as GDPR where applicable. We do not sell, trade, or share personal client data for commercial purposes. However, we are not responsible for data breaches that originate from third-party platforms (such as social networks, hosting providers, CRMs, or payment gateways) beyond our control.
Service Termination & Cancellation
Either party may terminate the engagement with written notice. If the client cancels services, all work completed or in progress remains non-refundable. The agency may terminate services immediately if the client fails to pay, provides false or misleading information, repeatedly fails to cooperate, requests work that would breach laws or platform policies, or engages in abusive or unprofessional behavior. If a client's account or business is found to be involved in illegal or fraudulent activity, the agency will cease all work immediately and may notify relevant authorities as required.
Limitations of Liability
The agency is not liable for losses arising from platform outages, account suspensions caused by prior violations, algorithm or policy changes by third-party platforms, poor product demand, website or payment gateway issues, stock unavailability, pricing errors, or any internal client-side business issues. Marketing is a tool to support growth but cannot replace product quality, operations, or customer service. The client agrees to indemnify and hold the agency harmless against business losses attributable to such factors.
Governing Law & Jurisdiction
These Terms and Conditions are governed by the laws of India. For clients based in India, disputes shall be subject to the jurisdiction of the courts in Delhi or Maharashtra as provided in the service agreement. International clients accept that the contract is governed by Indian law and international contract principles. Parties agree to attempt amicable resolution of disputes first and to use mediation or arbitration if required by contract terms.
Updates & Modifications
Do Nothing Marketing Agency may update these Terms and Conditions at any time to reflect legal, regulatory, or platform policy changes. Material updates will be communicated to clients via email or posted on the website. Continued use of our services after changes are posted constitutes acceptance of the revised terms. Clients are responsible for reviewing these terms periodically.
